THESE TERMS OF SERVICE ("TERMS") CONTAIN AN AGREEMENT TO ARBITRATE, WHICH REQUIRES YOU TO ARBITRATE DISPUTES WITH EVENTREELS ON AN INDIVIDUAL BASIS RATHER THAN THROUGH CLASS ACTIONS OR JURY TRIALS. PLEASE REVIEW THE ARBITRATION PROVISION CAREFULLY.

BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.

1. Acceptance of Terms

1.1 Agreement

These Terms of Service constitute a legally binding agreement between you and Eventreels ("EventReels," "we," "us," or "our") regarding your access to and use of the EventReels platform, mobile applications, website, and related services (collectively, the "Services").

1.2 Additional Terms

Additional terms may apply to specific features or services, including but not limited to:

  • Community Guidelines
  • Acceptable Use Policy
  • Payment Terms (for paid events)
  • University/Organization-specific terms (for custom domain users)

All additional terms are incorporated by reference into these Terms.

1.3 Updates to Terms

We may modify these Terms at any time. We will notify you of material changes by email, prominent notice on the Services, or in-app notification. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years old to use the Services. We collect your date of birth during registration to verify you meet this requirement.

By using the Services, you represent and warrant that:

  • You are at least 18 years old or have parental/guardian consent.
  • You have provided your accurate date of birth.
  • You have the legal capacity to enter into these Terms.
  • You are not prohibited from using the Services under applicable law.

2.2 Account Registration

To access certain features, you must create an account and:

  • Provide a valid phone number (required for verification).
  • Provide a valid email address (required).
  • Provide your full name (required).
  • Provide your date of birth (required for age verification).
  • Complete the verification process (via SMS code and/or email verification).
  • Optionally provide additional information (profile photo, location, bio).

You agree to:

  • Provide accurate, current, and complete information.
  • Provide your real name and genuine date of birth.
  • Maintain and update your information when it changes.
  • Keep your account credentials confidential.
  • Notify us immediately of any unauthorized access.
  • Be responsible for all activity under your account.

We reserve the right to:

  • Verify the information you provide.
  • Request additional documentation to verify your identity or age.
  • Suspend or terminate accounts that violate these Terms or provide false information.
  • Refuse service to anyone at our sole discretion.
  • Require additional verification or information.

2.3 Prohibited Account Actions

You may not:

  • Create accounts using false or misleading information.
  • Create multiple accounts to evade restrictions.
  • Share your account with others.
  • Buy, sell, or transfer accounts.
  • Use automated means (bots) to create accounts.
  • Impersonate others or misrepresent your identity.

3. Description of Services

3.1 What EventReels Provides

EventReels is a platform for creating, managing, and attending social events.

Core Features

  • Event creation and management tools.
  • RSVP tracking and guest list management.
  • Invitations via SMS, email, and shareable links.
  • Photo and video sharing and galleries.
  • Event communication tools (comments, announcements).
  • Live event wall displays.
  • Calendar integration.
  • QR code check-ins.

Optional Features

  • Paid ticketing and payment processing (via third-party processors).
  • Premium subscriptions with additional features.
  • Custom domain hosting for universities/organizations.
  • Analytics and reporting tools.

3.2 Service Availability

We strive for reliable service, but the Services are provided "as is" and "as available." We do not guarantee uninterrupted or error-free access and may suspend Services for maintenance, updates, or emergencies. Features may change or be discontinued at any time. We are not responsible for third-party service disruptions (e.g., payment processors, SMS providers).

3.3 Beta Features

Some features may be offered in beta. Beta features are experimental and may be unstable, changed, or discontinued at any time. You use beta features at your own risk and agree that we may collect feedback to help improve them.

4. User Content and Intellectual Property

4.1 Your Content

"User Content" means any content you create, upload, post, or transmit through the Services, including:

  • Event details, descriptions, and information.
  • Photos, videos, and other media.
  • Comments, messages, and communications.
  • Profile information.
  • Any other content you provide.

You retain ownership of your User Content.

4.2 License to EventReels

By submitting User Content, you grant EventReels a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

  • Use, reproduce, modify, and create derivative works.
  • Publicly display and perform your User Content.
  • Distribute and transmit your User Content.
  • Store and process your User Content.
  • Use your User Content in marketing and promotional materials.

This license allows us to display your photos in event galleries, show event details to invited guests, and promote successful events. The license ends when you delete your User Content or close your account, except for content shared with others that they may have retained.

4.3 Your Responsibilities for User Content

You represent and warrant that:

  • You own or have rights to all User Content you submit.
  • Your User Content does not violate any third-party rights.
  • Your User Content complies with these Terms and applicable law.
  • You have obtained necessary consents (e.g., from people in photos).

You agree not to post User Content that:

  • Is illegal, fraudulent, or deceptive.
  • Infringes intellectual property rights.
  • Contains viruses, malware, or harmful code.
  • Violates our Community Guidelines.
  • Promotes violence, hate speech, or harassment.

4.4 EventReels' Rights

We may, but are not obligated to:

  • Monitor User Content for compliance.
  • Remove or refuse to display User Content that violates these Terms.
  • Suspend or terminate accounts that repeatedly violate our policies.
  • Cooperate with law enforcement investigations.

We are not responsible for User Content created by users.

4.5 EventReels Intellectual Property

The Services and all content, features, and functionality (excluding User Content) are owned by EventReels and protected by copyright, trademark, patent, and other intellectual property laws and international treaties.

You may not:

  • Copy, modify, or create derivative works of the Services.
  • Reverse engineer or decompile the Services.
  • Remove copyright or proprietary notices.
  • Use our trademarks without permission.
  • Frame or mirror the Services.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

4.6 AI-Generated Highlight Reels and Music

EventReels offers an AI-powered Highlight Reel feature that generates short video compilations from event photos ("Generated Reels"). When you use this feature and select background music, the following terms apply:

  • Generated Reels may include background music selected by you. EventReels does not represent or warrant that any music included in a Generated Reel is cleared for all commercial uses, monetized publication, or broadcast.
  • If you publish a Generated Reel to a third-party platform (including but not limited to Instagram, TikTok, YouTube, or Facebook), that platform's automated content recognition systems (e.g., YouTube Content ID, Meta Rights Manager) may detect copyrighted audio and mute the audio, restrict the video, or redirect monetization to the rights holder. These actions are taken by the third-party platform, not by EventReels.
  • You are solely responsible for ensuring you have all necessary rights and licences for any music included in content you publish publicly. EventReels is not liable for any content ID claims, audio restrictions, takedowns, or other actions applied by third-party platforms in connection with music in your Generated Reels.
  • Generated Reels are provided for personal event recap and sharing purposes. Use of Generated Reels in commercial advertising, monetized broadcast, or public performances may require you to obtain separate music synchronisation licences from the relevant rights holders.

5. Prohibited Conduct

5.1 General Prohibitions

You agree not to:

Use the Services to:

  • Violate any laws, regulations, or third-party rights.
  • Engage in fraudulent, deceptive, or misleading practices.
  • Impersonate others or misrepresent affiliations.
  • Harass, threaten, intimidate, or abuse others.
  • Distribute spam, unsolicited messages, or advertisements.
  • Collect or harvest user information without consent.
  • Interfere with others' use of the Services.

Technical Restrictions

  • Access the Services through unauthorized means.
  • Circumvent security measures or access restrictions.
  • Introduce viruses, malware, or harmful code.
  • Interfere with servers, networks, or infrastructure.
  • Use automated tools (bots, scrapers) without permission.
  • Overload or disrupt the Services (e.g., DDoS attacks).

Commercial Restrictions

  • Use the Services for commercial purposes without authorization.
  • Resell or redistribute the Services.
  • Create derivative products or competing services.
  • Scrape or data mine the Services.

5.2 Content Restrictions

You may not post content that includes:

Illegal Content

  • Child sexual abuse material (CSAM).
  • Content promoting illegal activities.
  • Counterfeit goods or services.
  • Stolen or pirated content.

Harmful Content

  • Credible threats of violence.
  • Content promoting terrorism or violent extremism.
  • Instructions for creating weapons or explosives.
  • Content promoting self-harm or suicide.

Hateful Content

  • Hate speech targeting protected characteristics.
  • Content promoting discrimination or bigotry.
  • Doxxing or sharing private information without consent.

Sexual Content

  • Pornography or sexually explicit material.
  • Non-consensual intimate images.
  • Sexual solicitation or exploitation.

Misinformation

  • False information that could cause physical harm.
  • Health misinformation that endangers public safety.
  • Election misinformation designed to suppress voting.

5.3 Event-Specific Violations

For event hosts, you may not:

  • Create fake or fraudulent events.
  • Sell tickets to events you cannot deliver.
  • Misrepresent event details, pricing, or policies.
  • Discriminate in violation of applicable law.
  • Fail to deliver promised goods or services.
  • Host events that violate our Acceptable Use Policy.

6. Payment Terms (For Paid Events and Subscriptions)

6.1 Payment Processing

EventReels uses Stripe Connect destination charges for all paid ticket and program purchases. When a buyer completes checkout, funds are transferred to the organizer's connected Stripe Express account and EventReels retains its platform fee as a Stripe application fee. Organizers must complete Stripe Express onboarding with charges and payouts enabled before their events can accept payments.

6.2 Platform Fees

EventReels charges a platform fee on every paid ticket and program enrollment. This fee is deducted at the time of purchase and is non-refundable in all cases. The current fee schedule — including percentage rates, fixed per-ticket amounts, and plan-based pricing — is always published at eventreels.com/pricing. The fee that applies is determined by the plan active on the organizer's account at the time of each transaction.

6.3 Refunds

Only event organizers (or team members with financial permissions) may initiate refunds. Buyers must contact the organizer directly.

  • Full refund: All tickets cancelled, seat freed, waitlist promoted.
  • Partial refund: Specified amount returned; tickets remain valid.
  • EventReels platform fees are non-refundable, including on event cancellations.
  • Stripe's processing fee is non-refundable and becomes the organizer's responsibility, tracked as an owed balance and automatically recovered from the organizer's Stripe Connect balance.

6.4 Organizer Payouts

Ticket proceeds are held in the organizer's Stripe Express account. All new accounts default to manual payouts. Automatic payouts require meeting qualification thresholds (3+ paid events, 50+ tickets sold, $500+ lifetime gross, 30+ days on platform, no outstanding owed fees).

6.5 Organizer Subscription Plans

Organizers may subscribe to paid plans billed monthly or annually via Stripe.

  • Downgrading takes effect at the end of the current billing period.
  • If a subscription becomes past_due or unpaid, plan benefits revert to the Standard tier until payment is resolved.
  • No pro-rata refunds for unused subscription time on cancellation; access continues through the end of the paid period.
  • Trial periods automatically convert to paid subscriptions unless cancelled before the trial ends.

6.6 Storage Plans

Organizers receive a default storage allocation and may purchase additional storage as a one-time, non-refundable add-on. Storage is measured in aggregate across all events and organizations the organizer manages. When the limit is reached, new uploads may be rejected. Existing content is not automatically deleted.

6.7 Chargebacks

Financial liability for chargebacks falls on the organizer's connected Stripe account. Organizers are responsible for responding to disputes within Stripe's required timelines. Excessive chargeback rates may result in payout holds or account review.

6.8 Taxes

Organizers are solely responsible for determining, collecting, and remitting all applicable taxes on ticket sales. EventReels does not collect or remit taxes on behalf of organizers and does not provide tax advice. EventReels may issue tax forms (such as IRS Form 1099-K) to organizers who exceed applicable reporting thresholds.

7. University and Institutional Accounts

7.1 Special Terms for Institutions

If you are using EventReels through a university or organization, additional terms may apply under that institution's agreement with EventReels. Your institution may have access to aggregated data and may impose its own policies on your use of the Services.

7.2 Custom Domains

Institutions with custom domains (e.g., events.university.edu) grant us permission to host and operate the subdomain and to use the institution's name and logo as agreed. Ownership of the primary domain remains with the institution and is governed by the separate institutional agreement.

8. DMCA Copyright Policy

8.1 Copyright Infringement

EventReels respects intellectual property rights and expects users to do the same. If you believe content on EventReels infringes your copyright, please send a DMCA notice to our Copyright Agent at [email protected].

Your notice must include:

  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the allegedly infringing material and its location.
  • Your contact information.
  • A statement of good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  • A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
  • Your physical or electronic signature.

8.2 Counter-Notification

If your content was removed due to a DMCA notice and you believe it was removed in error, you may file a counter-notification. We will forward the counter-notification to the complaining party, and your content may be restored if the complaining party does not file legal action within the time period required by law.

8.3 Repeat Infringer Policy

We may terminate the accounts of users who are determined to be repeat infringers at our sole discretion. No refunds will be provided for terminated accounts except as required by law.

8.4 Third-Party Platform Content Claims

When you upload content generated through EventReels (including AI-generated Highlight Reels) to third-party platforms such as Instagram, TikTok, or YouTube, those platforms may independently identify copyrighted material and apply restrictions (such as muting audio or filing a content claim) under their own policies. Such actions are between you and the third-party platform. EventReels has no control over and accepts no responsibility for content identification systems or enforcement actions taken by third-party platforms. You are responsible for complying with the terms of service of any third-party platform to which you upload content.

9. Disclaimers and Limitations of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EVENTREELS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

EVENTREELS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTREELS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF EVENTREELS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL EVENTREELS' TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO EVENTREELS IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

9.3 Third-Party Services

We are not responsible for third-party services, including payment processors, SMS providers, or websites linked from the Services, nor for User Content or the actions of other users, or for events hosted by users.

10. Indemnification

10.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless EventReels, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property.
  • Your User Content.
  • Your events or activities as a host.
  • Your attendance at events.
  • Any dispute with other users.
  • Your violation of applicable law.

10.2 Process

If a claim is made against EventReels, we will notify you promptly. We may participate in the defense at our expense, and you may not settle any claim without our prior written consent. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you.

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

11.1 Informal Dispute Resolution

Before filing a claim, you must first contact us to attempt to resolve the dispute informally by emailing [email protected] with a description of the dispute and your desired resolution. We will attempt to resolve the dispute within 60 days. Either party may proceed to arbitration if informal resolution fails.

11.2 Mandatory Binding Arbitration

You and EventReels agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration, rather than in court, except as provided in this Section.

Arbitration will be administered by the American Arbitration Association (AAA) under the AAA Consumer Arbitration Rules. The arbitration may be conducted in a location mutually agreed by the parties, in your county of residence, or by telephone or online, as permitted by AAA rules.

11.3 Exceptions to Arbitration

The following types of disputes may be brought in court:

  • Small claims court actions (if the requirements are met).
  • Injunctive or equitable relief to protect intellectual property rights.
  • Claims that cannot be arbitrated under applicable law.

11.4 Class Action Waiver

YOU AND EVENTREELS AGREE THAT DISPUTES WILL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

11.5 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement of your intent to opt out of arbitration.

11.6 Jurisdiction and Venue

If arbitration does not apply, you agree that any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Wyoming, USA, and you consent to the personal jurisdiction of such courts and waive any objection as to inconvenient forum.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and EventReels regarding the Services and supersede all prior agreements, understandings, or representations.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to reflect the parties' intent or, if not possible, severed, and the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

12.5 Force Majeure

We are not liable for any failure or delay in performance due to events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government actions, labor disputes, internet or telecommunications failures, or third-party failures.

12.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

12.7 Governing Law

These Terms are governed by the laws applicable in your jurisdiction of residence, without regard to conflict of law principles, except where otherwise required by applicable law.

12.8 Notices

Notices to you:

  • We may send notices via email, push notifications, or by posting on the Services.
  • Notices are effective when sent or posted.

Notices to EventReels:

You may send legal notices to [email protected].

12.9 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

12.10 Survival

Provisions that by their nature should survive termination will survive, including intellectual property provisions, disclaimers and limitations of liability, indemnification, dispute resolution, and general provisions.

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting your account in Settings or by emailing [email protected]. We will delete your data in accordance with our Privacy Policy.

13.2 Termination by EventReels

We may suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including violation of these Terms, fraudulent or illegal activity, requests by law enforcement, or extended periods of inactivity.

13.3 Effect of Termination

Upon termination, your right to use the Services will cease immediately. We may delete your account and User Content, and provisions that should survive termination will remain in effect. No refunds will be provided except as required by law.

13.4 Data Retention After Termination

Some User Content shared with others may remain (e.g., photos in event galleries). We may retain data for legal compliance, fraud prevention, or dispute resolution, and aggregated, de-identified data may be retained indefinitely.

Full Community Guidelines are available on the EventReels website. To maintain a safe, inclusive community, all users must:

  • Treat others with kindness and respect.
  • No harassment, bullying, or hate speech.
  • Respect privacy and boundaries.

Be Safe

  • No threats of violence or physical harm.
  • No content promoting dangerous activities.
  • Report safety concerns immediately.

Be Honest

  • Provide accurate event information.
  • No fraud, scams, or deceptive practices.
  • Do not impersonate others.

Be Lawful

  • Comply with all applicable laws.
  • Respect intellectual property rights.
  • No illegal activities or content.

Violations may result in content removal, account suspension, permanent bans, or legal action where appropriate.

16. AI Features

16.1 AI Reels

EventReels may generate highlight reels from approved event photos using AI. By uploading photos to an event album, you consent to those photos being used to generate reels for that event when the organizer activates the Reels feature. Music in reels must be sourced from iTunes preview links; organizers are responsible for any music rights in exported content.

  • Generated reels are owned by the organizer.
  • Monthly generation is quota-controlled per plan; unused quota does not roll over.
  • EventReels does not guarantee reel quality or generation completion time.

16.2 AI Event Assistant & Flyer Generation

EventReels uses third-party AI providers — including Google (Gemini) and Anthropic (Claude) — to power the event assistant and flyer generation. By using these features:

  • You consent to your prompts and event content being sent to these providers for processing.
  • EventReels does not guarantee the accuracy of AI-generated content; you are responsible for reviewing all output before publishing.
  • Conversation history is stored on EventReels servers and may be used to improve prompts.

17. SMS Communications

Organizers may send SMS messages to confirmed event participants via the SMS Blast feature. By providing a phone number and RSVPing to an event, you consent to receiving event-related SMS from the organizer via EventReels. Standard carrier rates may apply.

  • Organizers may only use SMS blast for communications directly related to the specific event.
  • You may opt out by updating your account notification settings.
  • SMS delivery is provided by Twilio; EventReels does not guarantee delivery.
  • Monthly SMS sending is quota-controlled per plan.

18. Identity Verification

Certain events may require attendees to complete identity verification using Stripe Identity.

  • Verification requires submitting a government-issued ID via Stripe; Stripe's Privacy Policy governs data handling during verification.
  • After verification, EventReels stores your verified legal name, address, date of birth, and document type.
  • This data is shared with the event organizer only as required to confirm attendee identity and is not sold or shared for marketing.
  • You may request deletion of your identity data by contacting [email protected]; deletion requires re-verification for future events that mandate it.
  • An additional per-ticket fee applies for events requiring identity verification; see eventreels.com/pricing.

19. Programs, Passes & Waivers

  • Late cancellations (within the organizer's cancellation window) and no-shows may incur fees set by the organizer, displayed before enrollment.
  • Digital waivers signed at enrollment are legally binding; EventReels stores the signed text, signature name, IP address, and timestamp.
  • Pass expiry begins from the date of purchase, not first use; unused sessions on an expired pass are forfeited.
  • Recurring passes auto-renew; organizers are responsible for refunds on cancellation per their own refund policy.

20. Discount Codes & Invitation Links

  • Discount codes are valid only for the specific event for which they were created and cannot be transferred between events.
  • EventReels reserves the right to void codes and reverse discounted purchases found to have been obtained fraudulently.
  • Invitation links are intended for sharing with specific guests; organizers are responsible for controlling link distribution.
